Terms and Conditions

Effective Date: September 5, 2026

These Terms and Conditions govern purchases from and participation in programs, products, and services offered by AGA Clinical Development & Workforce Training (“AGA,” “we,” “us,” or “our”).

By purchasing, accessing, or participating in an AGA course, academy, workshop, webinar, coaching program, training session, digital product, or other service, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.

1. Programs Covered by These Terms

These Terms and Conditions apply to all AGA offerings, including:

  • Self-paced courses and academies

  • Instructor-led courses

  • Live virtual classes and workshops

  • Coaching programs and private coaching sessions

  • Cohort-based programs

  • Clinical scenario and role-play sessions

  • Webinars and review courses

  • Digital downloads

  • Toolkits, workbooks, planners, guides, and e-books

  • Individual enrollment

  • Organizational or facility purchases unless a separate written agreement applies

When a facility, organization, or group has a separate signed agreement with AGA, the terms of that agreement will control if they differ from these general Terms and Conditions.

2. Educational Purpose

AGA programs are provided for education and professional development.

AGA courses and materials do not replace:

  • Nursing-school instruction

  • Employer orientation

  • Clinical supervision

  • Facility policies and procedures

  • Emergency protocols

  • Provider instructions

  • State or federal requirements

  • Professional scope-of-practice requirements

  • Independent clinical judgment or verification

  • Legal, medical, financial, employment, or licensing advice

Participants are responsible for following applicable laws, professional standards, facility policies, employer requirements, and authorized scopes of practice.

When uncertain about a clinical situation, participants must seek guidance from the appropriate instructor, supervisor, provider, employer representative, or emergency resource.

3. No Guarantee of Results

AGA does not guarantee that participation will result in:

  • Employment or promotion

  • Successful course completion

  • Graduation

  • Examination or licensing success

  • Certification

  • Continuing-education credit

  • Increased income

  • Improved job performance

  • A particular professional, academic, or clinical outcome

Results vary based on participation, preparation, effort, experience, workplace requirements, and other circumstances outside AGA’s control.

4. Eligibility

Purchasers and participants must be at least 18 years old or have permission from a parent or legal guardian.

Participants are responsible for ensuring that the selected program is appropriate for their educational level, professional role, and goals before purchasing.

Enrollment does not authorize a participant to perform activities outside their permitted role or scope of practice.

5. Course Access

Course-access periods are stated in the applicable product description.

Unless otherwise stated, access begins when the participant receives the course login, enrollment confirmation, digital files, or other method of accessing the purchased materials.

Participants are responsible for:

  • Providing an accurate email address

  • Maintaining access to their email account

  • Remembering their login credentials

  • Using a compatible device and browser

  • Maintaining a reliable internet connection

  • Downloading permitted resources before access expires

  • Contacting AGA promptly when an access problem occurs

Course-access periods are not automatically extended because a participant did not begin or complete the program.

6. Individual-Use License

Unless a separate facility or organizational license has been purchased, enrollment is for one individual participant.

AGA grants the purchaser a limited, nonexclusive, nontransferable, revocable license to access and use the purchased materials for personal educational purposes.

Participants may not:

  • Share course passwords or accounts

  • Forward private course or coaching links

  • Copy or distribute course materials

  • Upload materials to social media, websites, shared drives, or learning platforms

  • Record course videos or live sessions without written permission

  • Reproduce or modify AGA materials for resale

  • Sell, sublicense, or give materials to another person

  • Use an individual purchase to train an organization or facility

  • Remove AGA branding, copyright notices, or ownership information

  • Use AGA materials to create a competing course, product, or training program

Facilities and organizations interested in using AGA materials with multiple learners must obtain an appropriate group or organizational license.

7. Intellectual Property

All course content, videos, recordings, written materials, downloads, graphics, branding, frameworks, activities, assessments, scenarios, presentations, and teaching resources are owned by or licensed to AGA Clinical Development & Workforce Training.

Purchasing a course or product does not transfer ownership of the intellectual property to the purchaser.

All rights not expressly granted in these Terms and Conditions are reserved.

8. Patient Privacy and Confidentiality

Participants must protect patient, coworker, employer, classmate, instructor, and participant confidentiality.

Participants may use only fictional or fully de-identified examples during course activities, coaching, discussions, assignments, or community posts.

Participants must not submit or disclose:

  • Patient names or initials

  • Dates of birth

  • Medical-record numbers

  • Addresses or contact information

  • Patient photographs or recordings

  • Screenshots from an electronic health record

  • Facility documents

  • Employer-confidential information

  • Identifying dates, locations, or circumstances

  • Any other protected or identifying information

AGA is an educational provider and should not be used as a place to store, submit, or discuss protected health information.

9. Live Sessions and Coaching

Participants enrolled in live or guided programs are responsible for reviewing the published schedule and attending sessions on time.

Failure to attend a session does not automatically entitle the participant to a refund, replacement session, private make-up session, or access extension.

Private coaching appointments:

  • Are reserved for the enrolled participant

  • Are not transferable

  • Should be rescheduled at least 24 hours in advance when possible

  • May be forfeited when missed without notice

  • Must be used within the stated program period unless AGA provides written approval

Coaching provides educational and professional-development support. It does not provide patient-specific medical direction, legal advice, mental-health treatment, employment representation, or clinical supervision.

10. Session Recordings

AGA may record designated group coaching sessions, webinars, classes, or workshops for enrolled participants.

Participants will be informed when a session is being recorded. A participant who does not wish to appear in a recording should keep their camera off, avoid displaying identifying information, and follow the instructions provided for submitting questions privately when that option is available.

Recordings may exclude breakout activities, private coaching, sensitive discussions, or other content at AGA’s discretion.

Participants may not download, copy, edit, post, share, sell, or distribute recordings unless AGA gives written permission.

Attendance does not automatically give AGA permission to use a participant’s name, image, testimonial, or story for public marketing. Separate permission will be requested when applicable.

11. Community Participation

Private student communities are provided for education, encouragement, announcements, accountability, and de-identified discussion.

Participants agree to:

  • Communicate respectfully

  • Protect privacy and confidentiality

  • Avoid harassment, discrimination, threats, or personal attacks

  • Refrain from diagnosing or giving patient-specific instructions

  • Avoid posting advertisements or unauthorized promotions

  • Keep course content and community discussions private

  • Follow the applicable platform’s rules

Community support is not continuously monitored and must not be used for emergencies, urgent patient concerns, or time-sensitive workplace matters.

12. Technology Requirements

Participants are responsible for having the technology needed to access their selected program, including:

  • Reliable internet service

  • A compatible computer, tablet, or mobile device

  • A current web browser

  • A working email address

  • Access to required platforms, such as Google Meet or Facebook, when applicable

  • Audio and video capabilities for interactive sessions when required

Technology problems caused by the participant’s device, connection, settings, email provider, or failure to meet published requirements do not automatically qualify for a refund.

AGA will provide reasonable assistance with confirmed course-access problems.

13. Payments

Payment must be made through an approved AGA checkout or invoicing method.

If a payment plan is offered, the purchaser remains responsible for completing all scheduled payments unless otherwise required by law or agreed to by AGA in writing.

Failure to make a scheduled payment may result in suspended course access, removal from live services, or cancellation of participation.

A payment dispute or chargeback does not automatically cancel the purchaser’s obligations under these Terms. Purchasers should contact AGA first to report duplicate charges, billing errors, or access problems.

14. Refund Policy

Because AGA provides educational services, immediate access to digital content, downloadable materials, reserved enrollment spaces, and scheduled instructional services, all purchases are final and nonrefundable except when required by law.

This policy applies to:

  • Self-paced and instructor-led courses

  • Academies and cohort programs

  • Workshops and webinars

  • Coaching programs and private sessions

  • Live virtual training

  • Digital downloads, toolkits, workbooks, planners, guides, and e-books

  • Certificates and other educational products

Refunds will not be issued because a participant:

  • Changes their mind

  • Does not begin or complete a program

  • Fails to attend a live session or appointment

  • Experiences a scheduling conflict

  • Does not use the materials or services

  • Fails to meet published technology requirements

  • Does not achieve a particular result

  • Is removed for violating these Terms or applicable program policies

Exceptions may be considered for duplicate charges, confirmed billing errors, circumstances required by law, or when AGA cancels an entire paid program without providing a rescheduled date, replacement program, credit, or comparable service.

15. Schedule Changes and Cancellations

AGA may change an instructor, session time, platform, course sequence, or program schedule when reasonably necessary.

When possible, participants will be notified through email, the course portal, or the designated student community.

If AGA cancels a live session, AGA may provide:

  • A rescheduled session

  • A replacement instructor or activity

  • A recording

  • A course credit

  • A comparable educational service

If AGA permanently cancels an entire paid program without providing a reasonable replacement, affected participants may receive an appropriate refund as required by law.

16. Certificates

Certificates are awarded only when the applicable completion or participation requirements are satisfied.

Unless expressly stated, an AGA certificate:

  • Is not a professional license

  • Is not a certification

  • Does not expand a participant’s scope of practice

  • Does not guarantee employment

  • Does not represent approved continuing-education credit

  • Does not replace employer-required competency validation

AGA may withhold a certificate when course requirements are incomplete or program policies have been violated.

17. Participant Conduct and Termination

AGA may suspend or terminate access when a participant:

  • Shares protected, confidential, or identifying information

  • Engages in harassment or disruptive conduct

  • Shares course accounts or materials

  • Records sessions without permission

  • Violates intellectual-property rights

  • Uses the program for unlawful purposes

  • Threatens the safety or privacy of others

  • Fails to make required payments

  • Materially violates these Terms and Conditions

Termination for a participant’s violation does not automatically qualify the participant for a refund.

18. Third-Party Platforms

AGA may use third-party services such as Squarespace, payment processors, email providers, Google Meet, Facebook, or course-hosting platforms.

Use of those platforms may also be subject to their own terms and privacy policies.

AGA is not responsible for a third-party platform’s temporary outage, policy change, account restriction, security incident, or discontinuation. When reasonably possible, AGA may provide an alternate delivery method.

19. Website and Course Availability

AGA works to keep its website, course portal, and services available, but uninterrupted access cannot be guaranteed.

Temporary interruptions may occur because of maintenance, updates, security concerns, internet failures, third-party outages, emergencies, or circumstances outside AGA’s reasonable control.

20. Limitation of Liability

To the fullest extent permitted by law, AGA Clinical Development & Workforce Training and its owners, instructors, contractors, and representatives will not be responsible for indirect, incidental, special, or consequential damages arising from participation in or use of an AGA program or product.

Nothing in these Terms excludes rights or responsibilities that cannot legally be excluded.

21. Changes to These Terms

AGA may update these Terms and Conditions to reflect changes in programs, business practices, technology, or legal requirements.

The updated effective date will appear at the top of this page. The terms presented at the time of purchase will generally apply to that transaction unless a change is required by law.

22. Governing Law

These Terms and Conditions are governed by the laws of the State of New York, without regard to conflict-of-law principles.

Before starting a formal dispute, the purchaser is encouraged to contact AGA and allow a reasonable opportunity to address the concern.

23. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue to apply to the fullest extent permitted by law.
